Welcome to Preptly AI! These Terms and Conditions (the 'Terms') govern your access to and use of our AI-powered technical interview platform, including any content, functionality, and services offered on or through Preptly AI (the 'Platform').

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

1. Acceptance of Terms

This is a legally binding agreement between you, the user (whether a Tech Expert, Candidate, or other user), and Preptly AI ('Company,' 'we,' 'us,' or 'our'). By creating an account, scheduling an interview, participating in an interview, or otherwise using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. We may update these Terms from time to time, and your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. We will notify you of significant changes through the Platform or via email.

2. Description of Service

Preptly AI provides an innovative AI-powered platform designed to streamline and enhance the technical interview process. Our services include, but are not limited to:

    For Tech Experts: Tools for creating job descriptions, configuring interview parameters (e.g., tech stack, experience level, evaluation focus), AI-driven question generation, scheduling interviews, managing candidate invitations, and accessing post-interview analytics and feedback.
  • •
    For Candidates: A seamless interface to join AI-led video interviews, respond to questions via voice or chat, and receive post-interview confirmations.

Our Platform leverages advanced Artificial Intelligence (AI) technologies, including Large Language Models (LLMs), vector databases, and automated background processes, to deliver a highly efficient and insightful interview experience. All interactions, including video and audio, may be recorded, transcribed, and analyzed by AI for the purpose of generating feedback and improving the service, as further detailed in our Privacy Policy.

3. User Accounts and Registration

To access certain features of the Platform, you must register for an account. You agree to:

  • •Provide accurate, current, and complete information during the registration process and keep your account information updated.
  • •Maintain the confidentiality of your account password and notify us immediately of any unauthorized use of your account.
  • •Be solely responsible for all activities that occur under your account.

We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, or incomplete, or if you violate these Terms.

4. User Roles and Responsibilities

4.1. Tech Expert Responsibilities

As a Tech Expert, you are responsible for:

  • •Accurately defining job roles, descriptions, required tech stacks, experience levels, and evaluation focuses.
  • •Reviewing and approving AI-generated interview questions before they are used in live interviews.
  • •Ensuring that all interview configurations comply with relevant labor laws, anti-discrimination regulations, and ethical hiring practices.
  • •Managing your credit balance for Platform usage (as detailed in Section 5).
  • •Maintaining the confidentiality of candidate information and interview results.

4.2. Candidate Responsibilities

As a Candidate, you are responsible for:

  • •Ensuring you have a stable internet connection and appropriate hardware (microphone, camera) for video interviews.
  • •Responding truthfully and to the best of your ability during the interview.
  • •Understanding that your interview will be recorded, transcribed, and analyzed by AI for evaluation purposes.
  • •Respecting the AI interviewer and the interview process.

5. Payment and Credits

Access to certain features and services on the Platform, particularly for Tech Experts, operates on a credit-based system. You must purchase credits using our designated payment gateway (e.g., Stripe) to utilize these features.

5.1. Credit Purchase

  • •Credits are purchased in packages as offered on the Platform.
  • •All credit purchases are final and non-refundable, except as required by applicable law.
  • •We reserve the right to change credit pricing at any time, with reasonable notice.

5.2. Credit Consumption

Credits are consumed for specific actions within the Platform, including but not limited to:

  • •Job Description Creation: Generating initial tech stack and evaluation focus tags, and processing the JD for embeddings.
  • •Interview Scheduling: Triggering the AI question generation process, including vector searches for similar JDs and question context.
  • •Interview Call: Initiating and conducting an AI-led video interview session.
  • •Interview Analysis: Triggering the post-call AI analysis for feedback generation, scoring, and summarization.

Each action will consume a predefined number of credits, which will be clearly communicated on the Platform. We reserve the right to adjust credit consumption rates for features, with reasonable notice.

5.3. Payment Processing

All payments are processed securely through third-party payment processors (e.g., Stripe). We do not store your full payment card details on our servers. You agree to abide by the terms and conditions of the respective payment processor.

6. Intellectual Property Rights

All content, features, and functionality on the Platform, including but not limited to text, graphics, logos, images, software, and the compilation thereof, are the exclusive property of Preptly AI or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6.1. User-Generated Content

Any content you upload, submit, or transmit through the Platform, including job descriptions, interview questions, candidate responses, and feedback, remains your property. However, by submitting such content, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, prepare derivative works of, display, and perform your content in connection with the Platform and our business, including for promoting and redistributing part or all of the Platform (and derivative works thereof) in any media formats and through any media channels.

This license is granted for the purpose of operating, improving, and providing the Platform's services, including training and refining our AI models. We commit to anonymizing and aggregating data where appropriate to protect privacy, as detailed in our Privacy Policy.

7. Prohibited Uses

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:

  • •In any way that violates any applicable federal, state, local, or international law or regulation.
  • •For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
  • •To transmit, or procure the sending of, any advertising or promotional material, including any 'junk mail,' 'chain letter,' 'spam,' or any other similar solicitation.
  • •To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
  • •To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by us, may harm the Company or users of the Platform or expose them to liability.

Additionally, you agree not to:

  • •Use the Platform in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Platform.
  • •Use any robot, spider, or other automatic device, process, or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform.
  • •Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • •Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM. WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE PLATFORM, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE PLATFORM OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

9. Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE PLATFORM OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your user-generated content, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

11. Governing Law and Jurisdiction

All matters relating to the Platform and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of India, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the courts of Bengaluru, India, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

12. Arbitration

At the Company's sole discretion, it may require you to submit any disputes arising from the use of these Terms or the Platform, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Indian Arbitration and Conciliation Act, applying Indian law.

13. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14. Entire Agreement

The Terms and our Privacy Policy constitute the sole and entire agreement between you and Preptly AI regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.

This Platform is operated by Preptly AI, Bengaluru, India.
